These Terms of Use (“Terms“) govern your access to and use of the websites, portals, and online services operated by Knowbrist Corp, doing business as Three Link Solutions (“Three Link,” “we,” “us,” or “our”), including our public website at “https://threelink.com” and any client-facing or restricted sites, portals, or environments we make available (collectively, the “Sites“).

1. Who We Are / Scope

Three Link Solutions provides consulting services and staff augmentation, including services related to enterprise systems such as Workday (the “Services”).

These Terms govern only access to and use of the Sites and do not amend, expand, or reduce any separate written agreement between you and Three Link.

Important: If you have a separate written agreement with Three Link Solutions (e.g., Professional Services Agreement, Consulting Agreement, NDA, Statement of Work, Order Form) (a “Client Agreement”), then the Client Agreement controls to the extent it conflicts with these Terms. For clarity, all services, deliverables, work product, implementation activities, support obligations, fees, payment terms, acceptance terms, data processing obligations, and ownership/license rights relating to professional services are governed solely by the applicable Client Agreement and not by these Terms.

 

2. Acceptance of Terms

By accessing or using the Sites, you agree to these Terms. If you do not agree, do not use the Sites.

If you are using the Sites on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

 

3. Changes to These Terms

We may update these Terms from time to time in our sole discretion. The “Last Updated” date shows when changes were made. Unless otherwise stated, revised Terms are effective when posted. Your continued use of the Sites after changes become effective means you accept the updated Terms.

 

4. Privacy

Your use of the Sites is subject to our Privacy Policy located at: https://threelink.com/privacy-policy/, which is incorporated into these Terms by reference. Additional privacy, security, or data-handling notices may apply to specific Sites, Restricted Areas, or engagements.

 

5. Accounts, Access Credentials, and Client Portals

Some areas of the Sites (including client portals or restricted sites) require an account or credentials (“Restricted Areas”).

You agree to:

  • Provide accurate information when creating an account (if applicable).
  • Keep credentials confidential and not share them except as permitted under your Client Agreement.
  • Promptly notify us of any suspected unauthorized access or security incident at security@threelink.com.

You are responsible for all activity occurring under your account or credentials, whether or not authorized by you, except to the extent caused by our breach of these Terms or applicable law.

You will use reasonable efforts to ensure that only authorized users access Restricted Areas.

We may monitor, log, review, preserve, and disclose information relating to use of the Sites and Restricted Areas as reasonably necessary to operate the Sites, maintain security, investigate suspected misconduct, enforce these Terms, protect our rights or property, or comply with applicable law.

We reserve the right, on reasonable notice where practicable and except where immediate action is required, to audit, review, or investigate access to and use of Restricted Areas to verify compliance with these Terms, protect the security and integrity of the Sites, investigate suspected misuse, and protect Three Link, its clients, and other users. You agree to cooperate with reasonable security-related inquiries or remediation requests relating to your use of Restricted Areas.

We may suspend or disable accounts to protect security, comply with law, or enforce these Terms, or where access is no longer required for the applicable business relationship.

 

6. Acceptable Use

You agree not to (and not to help others to):

  • Use the Sites for unlawful, harmful, or fraudulent purposes.
  • Attempt to gain unauthorized access to any system, account, or data.
  • Introduce malware; scrape, scan, probe, or conduct automated attacks.
  • Interfere with the Sites’ operation or other users’ access.
  • Upload or share content you do not have the right to share (including confidential or personal data) unless authorized.
  • Reverse engineer, copy, or misuse the Sites, except to the extent permitted by law.
  • Access or use the Sites to build, benchmark, train, improve, or validate any competing service, product, model, dataset, or offering.
  • Use any robot, bot, spider, crawler, scraper, data-mining tool, or other automated means to access, extract, index, monitor, or copy any portion of the Sites, except as expressly authorized in writing by Three Link.
  • Remove, obscure, or alter any copyright, trademark, confidentiality, or other proprietary notices.
  • Frame, mirror, or otherwise incorporate any portion of the Sites into any other website, product, or service.
  • Use the Sites in any manner that could disable, overburden, damage, or impair the Sites or Three Link systems.

 

7. Client Materials, Confidentiality, and Data Handling

If you are a client or authorized client user, you may upload or access files, data, credentials, documentation, tickets, deliverables, or other content through Restricted Areas (“Client Materials”).

  • Confidentiality: If an NDA or confidentiality provision exists in a Client Agreement, it governs. If not, you agree to treat non-public information obtained through Restricted Areas as confidential and use it only for authorized purposes. Without limiting the foregoing, non-public information relating to Three Link’s business operations, pricing, proposals, methodologies, templates, staffing information, security practices, portal structure, deliverables, and technical or business processes will be deemed Three Link confidential information whether or not marked confidential.
  • Data: Each party remains responsible for complying with applicable privacy and security obligations for data they provide or control. You should not upload sensitive personal data unless explicitly agreed in writing and necessary for the engagement. You represent and warrant that you have all rights, permissions, and legal bases necessary to provide Client Materials to Three Link and to permit Three Link to access, host, process, transmit, and use Client Materials as necessary to provide the Sites and applicable services. You will not upload export-controlled data, regulated health information, payment card data, or highly sensitive personal information unless expressly authorized by Three Link in writing.
  • Security: We may implement security controls (e.g., logging, multi-factor authentication, IP allowlists) and you agree to follow them. We may remove or restrict access to Client Materials or suspend access to Restricted Areas where reasonably necessary to address security, legal, or operational concerns.

 

8. Intellectual Property

Our IP: The Sites and their content (excluding Client Materials), including text, graphics, logos, designs, code, arrangements, interfaces, documentation, workflows, templates, forms, methodologies, know-how, reports, and compilations are owned by Three Link or its licensors and are protected by intellectual property laws. Three Link and its licensors reserve all rights not expressly granted in these Terms, and no implied licenses are granted.

Limited License: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Sites for your internal business purposes and consistent with these Terms. Except for this limited license, you receive no right, title, or interest in or to the Sites or any Three Link intellectual property.

Restrictions: You may not copy, reproduce, modify, publish, distribute, display, perform, create derivative works from, sell, license, rent, lease, transfer, or exploit any portion of the Sites or Three Link content except as expressly permitted in writing by Three Link.

Feedback: If you provide suggestions or feedback, you grant Three Link the right to use it without restriction or obligation, unless prohibited by law. You hereby assign to Three Link all right, title, and interest in and to any feedback to the extent such rights do not vest automatically in Three Link, and you waive any moral rights therein to the extent permitted by law.

 

9. Deliverables and Work Product (Consulting / Staff Augmentation)

Any deliverables, work product, or materials produced as part of Services (“Work Product”) are governed by the applicable Client Agreement and/or Statement of Work.

If no Client Agreement addresses ownership:

  • Three Link retains ownership of its pre-existing materials, templates, tools, and know-how (“Background IP”).
  • You receive a limited, non-exclusive, non-transferable, non-sublicensable license to use the Work Product for your internal business purposes, subject to timely payment of all applicable fees and these Terms.
  • To the extent any Work Product incorporates, is based on, or is delivered with Three Link Background IP, general skills, know-how, processes, routines, ideas, concepts, templates, accelerators, scripts, configurations, or methodologies, Three Link retains ownership of all such materials and all related intellectual property rights.
  • No Client Materials, deliverables, or Work Product may be resold, commercialized, disclosed to third parties, or used to create derivative works except as expressly permitted in the applicable Client Agreement.

 

10. Third-Party Services and Links

The Sites may link to third-party sites or services or integrate third-party tools (e.g., ticketing, file sharing). We are not responsible for third-party services and your use is subject to their terms. We do not endorse, and disclaim all responsibility for, any third-party content, products, services, privacy practices, security practices, or availability.

 

11. Workday and Other Trademarks

“Workday” and other product names may be trademarks of their respective owners. Three Link is not affiliated with or endorsed by Workday, Inc. unless expressly stated in writing.

“Three Link Solutions,” “Three Link,” “TLS,” “3Link,” related logos, taglines, service names, and other Three Link branding are the trademarks or service marks of Three Link or its affiliates. You may not use any Three Link name, logo, or brand element without Three Link’s prior written consent, including in any press release, customer list, advertising, marketing material, meta tag, keyword advertising, or other public statement.

You may not identify Three Link as a business partner, consultant, contractor, vendor, or service provider in any press release, marketing material, proposal, website, securities filing, social media post, or other public communication without Three Link’s prior written consent, except to the extent expressly permitted in an applicable Client Agreement or required by law.

 

12. Disclaimers

THE SITES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREE LINK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Sites will be uninterrupted, error-free, secure, or free of harmful components.

THREE LINK DOES NOT WARRANT THAT THE SITES OR CONTENT WILL MEET YOUR REQUIREMENTS OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

 

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREE LINK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SITES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREE LINK’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SITES OR THESE TERMS WILL NOT EXCEED $1,000.00 USD OR THE AMOUNT YOU PAID TO THREE LINK FOR ACCESS TO THE SITES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

If you are a party to a Client Agreement with Three Link and the claim arises from professional services or deliverables rather than mere access to or use of the Sites, the liability allocation in the Client Agreement will govern.

 

14. Indemnification

You agree to indemnify, defend, and hold harmless Three Link and its officers, directors, employees, and contractors from any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your misuse of the Sites.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Any Client Materials you submit or actions taken using your account.
  • Any allegation that Client Materials, instructions, or materials provided by you infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, confidentiality, or other rights of a third party.

 

15. Suspension and Termination

We may suspend or terminate your access to the Sites (including Restricted Areas) at any time if we believe you violated these Terms, pose a security risk, or as required by law.

We may also remove or disable any content or materials accessible through the Sites where we reasonably believe such action is necessary to protect the Sites, our systems, our personnel, other users, or our rights.

Failure to cooperate with a reasonable security investigation or remediation request may result in suspension or termination of access to Restricted Areas.

Upon termination, the license granted in these Terms ends. Sections that by their nature should survive will survive (including IP, disclaimers, limitation of liability, indemnity, and dispute provisions).

Termination will not limit any rights or remedies accrued before termination.

 

16. Compliance and Export

You agree to comply with applicable laws and regulations, including export control and sanctions laws, as they apply to your use of the Sites.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive trade sanctions, and that you are not identified on any applicable government restricted-party list.

 

17. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Exclusive venue for disputes will be state or federal courts located in Tarrant County, Texas, unless a Client Agreement states otherwise.

EACH PARTY WAIVES, TO THE EXTENT PERMITTED BY LAW, ANY RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.

 

18. Injunctive Relief

You acknowledge that any actual or threatened breach of these Terms relating to confidentiality, intellectual property, access credentials, Restricted Areas, or misuse of the Sites may cause irreparable harm to Three Link for which monetary damages may be inadequate. Accordingly, Three Link will be entitled to seek injunctive or other equitable relief, in addition to any other rights or remedies available at law or in equity, without the necessity of posting bond except as required by law.

 

19. Copyright Complaints / Notice-and-Takedown

If you believe that any content on the Sites infringes your copyright or other intellectual property rights, please submit a written notice to Three Link at legal@threelink.com with sufficient detail for us to identify the allegedly infringing material and evaluate your claim, including: (a) identification of the work claimed to have been infringed; (b) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it; (c) your contact information; (d) a statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law; and (e) a statement that the information in your notice is accurate and, under penalty of perjury where applicable, that you are authorized to act on behalf of the rights owner. Three Link may remove or disable access to allegedly infringing material in appropriate circumstances.

 

20. Electronic Communications

By using the Sites, creating an account, or communicating with Three Link electronically, you consent to receive communications from us electronically, including by email, portal notification, or posting on the Sites, where permitted by law. You agree that any notices, disclosures, agreements, or other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
